Agreement to Our Legal Terms
We are Radtak ("Company," "we," "us," "our"), a company registered in Texas, United States at 7600 Chevy Chase Dr, 300, Austin, TX 78752. We operate the website https://www.cheda.ai (the "Site"), the mobile application Cheda AI (the "App"), and related products and services (the "Services").
Cheda is a church operations platform that helps ministry teams manage volunteers, scheduling, attendance, giving, and events. It includes RadAI, an AI-powered ministry assistant that responds by voice or text in English and Spanish.

These Legal Terms form a binding agreement between you (personally or on behalf of an entity) and Radtak concerning your use of the Services. By using the Services you agree to be bound by them; if you disagree, you must discontinue use. We will provide notice of material changes (including via support@cheda.ai). The Services are intended for users at least 18 years old; persons under 18 are not permitted to register or use the Services.

1. Our Services
Information provided via the Services is not intended for use in any jurisdiction where it would be contrary to law or subject us to registration requirements; those who access from other locations do so on their own initiative and are responsible for local-law compliance.
The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.); if your interactions would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
2. Intellectual Property Rights
Our intellectual property. We own or license all IP in our Services — source code, databases, functionality, software, designs, audio, video, text, photographs, graphics ("Content"), and the trademarks, service marks, and logos ("Marks"). These are protected by US and international law and provided "AS IS" for your personal, non-commercial use or internal business purpose only.
Your use of our Services. Subject to compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download/print copies of Content you've properly accessed, for personal/internal business use only. No other commercial exploitation without our prior written permission. Requests: jose@radtak.com. We reserve all rights not expressly granted.
Your submissions and contributions. - Submissions (questions, comments, suggestions, feedback): you assign to us all IP rights; we may use them without acknowledgment or compensation. - Contributions (content posted to forums, boards, chat, etc.): governed by §10. May be viewable by other users; treated as non-confidential/non-proprietary. - You are responsible for what you post (must not be illegal, harassing, hateful, defamatory, obscene, false, etc.); you waive moral rights where permitted; you warrant you have necessary rights; you agree to reimburse us for losses from breach. We may remove or edit Contributions at our discretion.
Copyright infringement. See §16 (DMCA).
3. User Representations
By using the Services you represent that: (1) registration info is true/accurate/current/complete; (2) you'll maintain its accuracy; (3) you have legal capacity and agree to these Legal Terms; (4) you are not a minor in your jurisdiction; (5) you won't access via bots/automated means; (6) you won't use the Services for illegal/unauthorized purposes; and (7) your use won't violate any applicable law.
4. User Registration
You may need to register. Keep your password confidential; you're responsible for all use of your account. We may reclaim usernames we deem inappropriate.
5. Purchases and Payment
Accepted payment methods: Visa, Mastercard, American Express, and Discover, processed via Stripe. You agree to provide current/accurate purchase info and to pay all charges; sales tax added as required; payments in US dollars. We may refuse or limit orders and correct pricing errors.
6. Subscriptions
Billing and Renewal. Subscriptions continue and auto-renew until canceled; you consent to recurring charges. Billing cycle depends on the plan chosen.
Free Trial. We offer a 30-day free trial to new users; the account is charged per the chosen subscription at the end of the trial. (Note: the Ministry Partners affiliate program extends trials via coupon codes — not described here.)
Cancellation. Cancel anytime via your account; cancellation takes effect at the end of the current paid term. Questions: jose@radtak.com.
Fee Changes. We may change subscription fees and will communicate changes per applicable law.
7. Software
Software provided with the Services is governed by its EULA, if any; otherwise by a non-exclusive, revocable, personal, non-transferable license. Software provided "AS IS" without warranty. Do not reproduce/redistribute except per the EULA or these Legal Terms.
8. Prohibited Activities
Use the Services only for their intended purpose. You agree not to, among other things: systematically scrape/compile data without permission; trick or defraud users; circumvent security features; disparage us; harass others; misuse support; engage in unauthorized framing/linking; upload malware or spam; automate access (bots/scrapers); delete proprietary notices; impersonate others; use passive collection mechanisms (web bugs, pcms); disrupt the Services; harass our staff; bypass access measures; copy or reverse-engineer the Services' software; use buying agents; collect usernames/emails for unsolicited email; or use the Services to compete with us or for an unauthorized commercial endeavor.
9. User Generated Contributions
The Services may let you create/submit/post content ("Contributions"). When you do, you represent and warrant that your Contributions: don't infringe third-party rights; are yours or properly licensed; have necessary consents for identifiable persons; are not false/misleading; are not unsolicited advertising/ spam; are not obscene/harassing/objectionable; don't ridicule/abuse anyone; don't violate law; don't violate privacy/publicity rights; don't violate child-protection law; don't contain offensive discriminatory comments; and don't otherwise violate these Legal Terms. Violations may lead to suspension or termination.
10. Contribution License
By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to host, use, copy, reproduce, disclose, sell, publish, broadcast, store, display, reformat, translate, and distribute them (including your image and voice), and to prepare derivative works and sublicense. You retain ownership of your Contributions; we do not assert ownership. You're solely responsible for them. We may edit, recategorize, or delete Contributions at our discretion.
11. Guidelines for Reviews
If we provide review/rating areas, reviews must: be firsthand; avoid profanity/abuse; avoid discriminatory references; avoid illegal-activity references; not come from affiliated competitors (for negatives); not draw legal conclusions; not be false; and not be part of an organized campaign. We may accept/reject/remove reviews at our discretion and are granted a license to use review content.
12. Mobile Application License
Use License. If you use the App, we grant a revocable, non-exclusive, non-transferable, limited right to install/use it on devices you own/control. Restrictions: no decompiling/reverse-engineering; no modification/derivative works; no illegal use; no removing proprietary notices; no revenue-generating misuse; no multi-device/network sharing; no building competitive products; no automated queries/unsolicited email; no misuse of our IP.
Apple and Android Devices. Standard App-Distributor terms: the license is limited to use on iOS/Android per the App Distributor's rules; we (not the distributor) provide maintenance/support; the distributor's only warranty obligation is a possible refund; you warrant you're not on US embargo/terrorist/restricted lists; you comply with third-party terms; and Apple/Google are third-party beneficiaries entitled to enforce this license.
13. Social Media
You may link Third-Party Accounts. We may access/store content from them (e.g., friend lists) and you grant related permissions. Your relationship with third-party providers is governed solely by your agreements with them. You can disable the connection anytime.
14. Services Management
We reserve the right (not obligation) to monitor for violations, take legal action, refuse/limit/disable Contributions, remove burdensome content, and otherwise manage the Services to protect our rights.
15. Privacy Policy
We care about data privacy. See our Privacy Policy: https://cheda.ai/privacy — incorporated into these Legal Terms. The Services are hosted in the United States; by using them you consent to data transfer to and processing in the US.
16. Digital Millennium Copyright Act (DMCA) Notice and Policy
Notifications. If you believe material infringes your copyright, notify our Designated Copyright Agent. Notifications must meet 17 U.S.C. § 512(c)(3) requirements (signature, identification of work, identification of infringing material, contact info, good-faith statement, accuracy/perjury statement).
Counter Notification. Procedures for restoring removed material per the DMCA, including consent to federal-court jurisdiction and perjury statements.

17. Term and Termination
These Legal Terms remain in effect while you use the Services. We may deny access or terminate/suspend accounts at our sole discretion, without notice, for any reason including breach. Terminated users may not re-register under another name. We reserve the right to pursue legal remedies.
18. Modifications and Interruptions
We may change/remove content at any time without notice and are not liable for modifications, price changes, suspension, or discontinuance. We don't guarantee uninterrupted availability and aren't liable for downtime.
19. Governing Law
Governed by the laws of the State of Texas, without regard to conflict-of-law principles.
20. Dispute Resolution
Informal Negotiations. Parties attempt informal resolution for at least 30 days before arbitration.
Binding Arbitration. Disputes (with stated exceptions) resolved by binding arbitration under AAA Commercial Rules (and AAA Consumer Rules where appropriate). You waive the right to a jury trial. Venue: Travis, Texas. If a dispute proceeds in court, it's brought in the state/federal courts in Travis, Texas. UN CISG and UCITA excluded.
Restrictions. Arbitration is individual only — no class actions or representative claims.
Exceptions. Excluded from arbitration: disputes over IP rights, theft/piracy/privacy/unauthorized use, and claims for injunctive relief.
In no event shall a Dispute be commenced more than one (1) year after the cause of action arose.
21. Corrections
We may correct errors, inaccuracies, or omissions (descriptions, pricing, availability) and update information at any time without prior notice.
22. Disclaimer
THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE." We disclaim all warranties (merchantability, fitness, non-infringement) and assume no liability for errors, personal injury/property damage, unauthorized access, transmission interruptions, malware from third parties, or losses from content. Use your best judgment with third-party products/services.
23. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS/EMPLOYEES/AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFIT/REVENUE/DATA). OUR LIABILITY IS AT ALL TIMES LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. Some US states don't allow certain limitations, so some may not apply to you.
24. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising out of: your Contributions; use of the Services; breach of these Legal Terms or your representations; violation of third-party rights; or harmful acts toward other users. We may assume exclusive defense (at your expense) of any indemnified matter.
25. User Data
We maintain data you transmit for managing Service performance and usage. Although we perform routine backups, you are solely responsible for your data, and we have no liability for any loss or corruption of it.
26. Electronic Communications, Transactions, and Signatures
You consent to electronic communications, signatures, contracts, and records, and waive rights requiring non-electronic signatures/records.
27. SMS Text Messaging
Program Description. By opting into the Cheda text messaging program, you consent to receive SMS messages, which may include account alerts, appointment reminders, marketing communications, order updates, responses to inquiries, and special offers.
Opting Out. Reply "STOP" to stop receiving messages; you may get a confirmation. Re-subscribe by signing up again.
Message and Data Rates. Standard carrier message/data rates may apply; carriers aren't liable for delayed/ undelivered messages.

28. California Users and Residents

29. Miscellaneous
These Legal Terms (plus posted policies) are the entire agreement. Our failure to enforce a right isn't a waiver. We may assign our rights/obligations. We're not liable for events beyond our reasonable control. If any provision is unenforceable, it's severable. No joint venture/partnership/employment/agency is created. The Terms won't be construed against us as drafter.
